1. Acceptance of these terms
By creating a SMART Reply account, installing the SMART Reply Outlook add in, or using the SMART Reply LinkedIn extension, you agree to these terms of service. If you are using SMART Reply on behalf of an organisation, you confirm that you have the authority to bind that organisation to these terms.
2. The service
SMART Reply is an AI assistant that drafts emails, posts, and comments in your voice, plans travel and books meetings, captures meeting intelligence, and files emails and attachments to OneDrive or SharePoint. The service is delivered as a Microsoft certified Outlook add in, a Chrome extension for LinkedIn, and a web portal at app.bsmart-ai.com.
Every action SMART Reply takes requires explicit user approval. The human always stays in control.
3. Free trial
New users can try SMART Reply free for fourteen days. No credit card is required to start a trial. We may extend, shorten, or change trial terms in future, but any change will not affect a trial that is already underway.
4. Subscription and pricing
After the trial, continued use requires a paid subscription. Current pricing is published at bsmart-ai.com/#pricing. As of the last update of these terms, the price is £35 per user per month, or £350 per user per year (a saving of £70). All prices exclude VAT where applicable.
For organisations of more than fifty users, custom pricing and an Enterprise agreement are available. Contact [email protected].
5. Billing
Subscriptions are billed in advance through Stripe. Monthly subscriptions are charged each month on the same date you signed up. Annual subscriptions are charged once per year. Subscriptions auto renew unless cancelled at least one day before the next billing date.
You can cancel at any time from your account settings. Cancellation stops future renewals but does not refund the current billing period unless required by law.
6. Acceptable use
You must not use SMART Reply to:
- Send spam, phishing emails, or unsolicited bulk communications.
- Impersonate another person or organisation in a way intended to deceive.
- Generate content that is unlawful, harassing, defamatory, or violates the rights of others.
- Attempt to reverse engineer, decompile, or extract our model weights or source code.
- Resell, sublicense, or commercialise SMART Reply without our written permission.
- Probe, scan, or test the security of our infrastructure without our prior written consent.
Suspected abuse will result in suspension and may result in termination of your account.
7. Your data and our role
You own the content you create. We process your personal data and your mailbox content as a data processor on your behalf, under the terms set out in our Privacy Policy. We do not use your data to train any public AI model.
8. Intellectual property
SMART Reply, the SMART Reply name and logo, and all software, designs, and documentation we provide are the property of bSMART AI Ltd. You receive a limited, non transferable, non exclusive licence to use SMART Reply for your own business or personal communications during your subscription.
9. Service availability
We aim for high availability but do not guarantee uninterrupted service. Microsoft Graph, Anthropic, and other third parties we depend on may have outages outside our control. If a major outage materially reduces service availability for an extended period we may, at our discretion, credit affected accounts.
10. Suspension and termination
We may suspend or terminate access if you breach these terms, fail to pay, or use SMART Reply in a way that could harm us or other users. We will give reasonable notice where possible. On termination, your access ends and your data is deleted in line with the retention rules in our Privacy Policy.
You may terminate at any time by cancelling your subscription and uninstalling the Outlook add in and Chrome extension.
11. Disclaimers
SMART Reply is provided on an "as is" and "as available" basis. While we work hard to make drafts accurate and useful, AI generated content can contain errors. You are responsible for reviewing every draft before sending, posting, commenting, or filing. SMART Reply is an assistant, not an autonomous agent.
12. Limitation of liability
To the fullest extent permitted by law, our total liability arising out of or related to your use of SMART Reply is limited to the amount you have paid us in the twelve months preceding the event giving rise to the claim. We are not liable for indirect, incidental, consequential, or punitive damages, or for loss of profits, revenue, data, or business opportunities.
Nothing in these terms excludes liability that cannot be excluded under English law.
13. Indemnity
You agree to indemnify us against any third party claim arising from your misuse of SMART Reply, your breach of these terms, or content you create using the service that infringes the rights of others.
14. Governing law and disputes
These terms are governed by the laws of England and Wales. Any dispute will be subject to the exclusive jurisdiction of the courts of England and Wales, except where local consumer law gives you the right to bring proceedings in your country of residence.
15. Changes to these terms
We may update these terms from time to time. Material changes will be communicated by email at least thirty days before they take effect. Continued use after the effective date counts as acceptance.
